From 01.01.2018, the Law on the Commercial Register and the Register of Non-Profit Legal Entities (LCRRNPLE) to the Registry Agency was renamed as Commercial Register and a Register of Non-Profit Legal Entities.
The registration of the non-profit legal entities has passed from the courts to the Register of Non-Profit Legal Entities kept by the Registry Agency.
Pursuant to § 25, first paragraph, of the Law on Non-Profit Legal Entities, non-profit legal entities registered in the Register of Non-Profit Legal Entities with District Courts shall be obliged to submit an application for re-registration under the terms of the LCRRNPLE, until 31 December 2020. State fee for re-registration shall not be due.
The re-registration shall be made by entering by the legal representatives an application in the Register of the Non-Profit Legal Entity and the relevant circumstances for it on the basis of an application and a certificate of the current status of its court registration, whereas the associations or foundations presenting the inscribed in the court current constituent act or statute certified by the registration court or its legal representative.
The Registry Agency shall request from the regional court for the registration of the non-profit legal entity, respectively the branch of a non-profit legal person for which registration, deletion or announcement is requested - issuance of a certificate of current status containing full data on the current recorded circumstances , as well as a copy of the current constitutive act or statute of the non-profit legal entity, respectively the branch of a foreign non-profit legal entity.
The court of registration shall issue the certificates within three days of the request and promptly forward it to the Registry Agency. State fee for a first single issue of a certificate is not due. After the processing and the introduction by the Registry Agency of an electronic copy of the company file in the register of the non-profit legal entities, the court shall file the records.
Upon re-registration under paragraph 1, the non-profit legal entity shall be entered with its current name. excluded from the BULSTAT register and the BULSTAT code becomes the identification code of the non-profit legal entity (UIC), respectively of its branch.
The Central Register of Non-Profit Legal Entities for the Purpose of Public Benefit Activities at the Ministry of Justice shall submit to the Registry Agency data in electronic form for the legal entities and branches of foreign legal entities registered in the Central Registry.
Until the expiration of the term under § 25, para. 1 The Ministry of Justice maintains a public database of non-profit legal entities operating in the public interest who have not applied for re-registration.
