Under the Accounting Act, enterprises are required to publish their annual financial statements, the consolidated financial statements and the annual reports adopted by the general meeting of the shareholders (or sole shareholder) or the shareholders as follows:
-by all traders within the meaning of the Commercial Act - till 30 June for the previous year by means of an application for announcement in TRRNPLE to RA;
-of NPLE’S with public benefit status -till 30 June for the previous year by means of an application for announcement in TRRNPLE to RA;
As of 01.01.2018, with amendments to the Accountancy Act:
- budget enterprises and sole traders not subject to mandatory independent financial audit and
- enterprises that did not operate during the reporting period
have no obligation to file annual financial statements in TRRNPLE to RA..
In this respect, it should be taken into account the obligation for enterprises that did not operate during the reporting period to submit a Declaration till 31 March, that they did not carry out activity during the reporting period. State fee to TRRNPLE for the submission of this Declaration is not due. The declaration may be filed solely by the Manager (representative) of the Company or by an attorney expressly authorized for that purpose. The accountant is excluded from the rightful persons to file a declaration of lack of accounting activity. The latter has rights, with a power of attorney certified by a notary, to submit for publication the Annual Financial Report created by him.
The declaration may be in the free text or the declaration of inactivity submitted according to Annex 11 of the NSI, whose submission is also within the deadline until March 31st.
By July 31st, the Registry Agency provides information to the NRA for enterprises with documents not filed or not submitted within the statutory deadlines, for the purpose of check and finding violations, respectively imposing sanctions.
